Headquartered in Melbourne, BGH Capital was established in 2017 and is currently one of Australia’s largest private equity firms with over 35 employees. The firm’s maiden fund, BGH Capital Fund I, closed with approximately A$2.6 billion in May 2018 and its second fund, BGH Capital Fund II, has recently closed with approximately A$3.6 billion. This represents the largest Australia and New Zealand focused private equity fund that is actively deploying capital.  BGH Capital Fund I currently manages 8 portfolio companies including Navitas, CyberCX, Village Roadshow, Hazeldenes, Laurent and ForHealth Primary Care.

About the role

A rare, senior opportunity has arisen to join this leading private equity firm as Senior Legal Counsel & Chief Compliance Officer. Reporting to the General Counsel, this is a broad and varied role which will require you to manage and advise on legal, regulatory, governance and compliance matters affecting the firm and the funds. The breadth of the role is a highly attractive aspect of the opportunity. You will oversee a range of matters including:

  • Intimate understanding of fund structure, tax considerations, fund constituent documentation and investor composition;
  • Working with portfolio company legal teams to establish robust legal, compliance and governance frameworks;
  • Company secretarial oversight and management of all corporate and fund entities;
  • Assisting the COO and CFO regarding Risk Management Framework and Register, corporate and fund insurances and fund-related finance matters;
  • Managing general commercial/service agreements;
  • Assisting the investor relations team with investor due diligence and investor queries;
  • Working closely with the funds’ administrator and offshore boards in relation to fund matters;
  • Oversight of board meetings including preparation of board packs and minutes;

About you

Lawyers with 8+ PQE gained at a top tier law firm and/or in-house are well suited to this opportunity. You will bring expertise in regulatory financial services and licensing, funds management, governance and compliance. Those with M&A, tax and/or private equity experience will be highly regarded but these are not prerequisites. You will join a high-performance environment and bring outstanding technical legal skills coupled with business nous and commercial acumen. You have the ability to adjust quickly and positively to multiple demands and offer a can-do attitude and a collaborative approach. Your interpersonal skills are superior and will enable you to build highly effective relationships internally and externally.
